Terms of Service
Last updated:
These terms are the agreement between you and Clarity Search AI, Inc. for using Clark: the Mac app, the Clark dashboard on the web and this website.
The short version
- Clark is free during the preview. Features and limits can change while it is a preview.
- You must be 16 or older to use Clark.
- Recording laws differ by place. You are responsible for using Clark lawfully: tell people Clark is on, and get their consent where the law requires it.
- What you say and save stays yours. We use it only to run Clark, and we never use your conversations to train AI models.
- AI can be wrong. Clark itself never does your tasks: the AIs you connect act for you, and you are responsible for what they do.
- North Carolina law applies. If we disagree, we first try for 30 days to sort it out together, and then the courts in North Carolina decide.
The full text below is the one that counts.
1. Accepting these terms
These Terms of Service (the “Terms”) are a binding agreement between you and Clarity Search AI, Inc. (“Clarity Search AI”, “we”, “us”). They cover Clark for Mac, the Clark dashboard on the web, the server that Clark and your connected AIs use, and this website (together, “Clark”).
By making a Clark account (in Clark for Mac or on the web), signing in or using any part of Clark, you agree to these Terms and to our Privacy Policy, which explains what Clark collects and where it goes. If you don’t agree, don’t use Clark.
If you use Clark for a company or another organization, you confirm that you can agree to these Terms for it, and “you” then means you and that organization.
2. Who we are
Clark is a product of Clarity Search AI, Inc., based in Raleigh, North Carolina. You can reach us at contact@claritysearch.ai.
Clark saves the to-dos, promises and details from your conversations and hands them to the AIs you connect. This website and Clark’s setup explain how it works and when it listens.
3. Who can use Clark
You must be at least 16 years old and able to make a binding contract. Clark is not meant for children.
You can’t use Clark if the law where you live forbids it, or if we closed an account of yours for breaking these Terms.
4. The preview
Clark is free during the preview. There is no billing, and we collect no payment details. If we decide to charge for Clark, we’ll tell you the price at least 30 days before it applies, and nothing is charged unless you agree to pay.
A preview is a work in progress. We may add, change or remove features, change usage limits, or end the preview at any time. Where we reasonably can, we’ll tell you before a change that takes away something important.
We don’t promise that Clark will be available at any particular time or without interruption. We may pause it for maintenance or security, and it stops working when a service it depends on is down.
5. Your account
You need an account to use Clark. You can make one in Clark for Mac, with a code we email you, or in the Clark dashboard on the web. Give accurate information, use an email address you control and keep your password to yourself. You are responsible for what happens in your account, including what the AIs you connect do with it.
An account is for one person. Don’t share it, and don’t make several accounts to get around usage limits. We may refuse or suspend an account that gives false information.
If you think someone else has used your account, tell us right away at contact@claritysearch.ai. You can disconnect any AI, and revoke any key you made for one, in the Clark dashboard.
6. Recording and consent
Clark listens during your calls, in person when you turn it on, and all day only if you choose. While it listens, it hears everyone in the conversation, not just you.
Laws on recording conversations differ by country and state, and some places require everyone in a conversation to agree before it is recorded. You are responsible for knowing the rules where you and the people you talk with are, for telling people that Clark is on, for getting their consent when it is required, and for turning Clark off when you should not record.
Clark gives you tools for this: a banner when a call starts Clark, a notice you can copy, such as “Heads up, I use Clark to keep track of what we agree on. Okay with you?”, and a nudge when someone new talks in person. Using them does not by itself make a recording lawful.
Before Clark starts listening, its setup asks you to confirm: “I understand that I am responsible for using Clark lawfully and for any conversations it records.” That confirmation is part of these Terms.
If someone you recorded asks you to delete a conversation and the law gives them that right, delete it. You can delete any conversation in Clark at any time.
7. Acceptable use
You agree not to, and not to let anyone else:
- record anyone in a way that breaks the law, including without the consent the law requires;
- use Clark to spy on, stalk, harass or threaten anyone;
- use Clark where recording is not allowed, for example where a court, an employer or the place you are in forbids it;
- break the law, or anyone else’s rights, with what Clark saves or with what your AIs do with it;
- get around usage limits, security or access controls, or probe, scan or test Clark for weaknesses without our written permission;
- interfere with Clark or put an unreasonable load on it, or scrape, harvest or bulk-extract data from it, including by automated means other than the connections Clark offers your AIs;
- copy, change, decompile or reverse engineer Clark for Mac or Clark’s server, or try to extract its source code, models or prompts, except where the law allows it despite this limit;
- resell, sublicense or white-label Clark, or use someone else’s account, AI connections or keys;
- connect accounts or apps, or add content, that you don’t have the right to;
- upload malicious code, or anything meant to harm Clark or other people.
We may look into suspected violations, and suspend or close the accounts involved.
8. Your content
Your content is what Clark turns into text and saves for you: your conversations, the items saved from them and their context, your chats with Clark, what you write in Clark (including instructions to your AIs), and what your AIs write back to it. It stays yours.
What Clark writes for you from your content, such as titles, summaries, context and the items it saves, is your content too: to the extent we have any rights in it, we assign them to you. What AI writes can be similar to what it writes for others, and it may not be protected by copyright.
You give us a worldwide, non-exclusive license, for as long as your content is in Clark, to host, copy, process, transmit and show it, only to run Clark for you (to turn your conversations into saved items, show them to you, answer your questions, and share them with the AIs you connect as your settings allow), to keep Clark secure and to follow the law. That includes sending your content to the service providers named in our Privacy Policy, which work for us.
Clark never uses your conversations to train AI models. Clark never sells your data or uses what it hears for ads.
Your conversations include other people’s words. You are responsible for having the right to record and keep them, and for what you choose to save, share with your AIs or do with them.
You can delete your content at any time, as the Privacy Policy explains.
9. AI can be wrong, and your AIs act for you
Clark uses AI, including Anthropic’s Claude, to read your conversations, decide what to save, write summaries and context, and answer your questions. AI makes mistakes. Clark can mishear words, miss what was said, save something nobody meant, get a date wrong or mix up who said what. Check what Clark saved before you rely on it, and don’t rely on Clark for medical, legal, financial or other professional decisions.
Clark itself never does your tasks. It saves them and hands them to the AIs you connect, such as Claude, ChatGPT, Grok or Muse. Those AIs act on your instructions, through your own accounts with their providers and under those providers’ terms. You are responsible for what they do, including anything they send, buy, book, change or delete outside Clark.
Clark tells your AIs to check with you before sending anything, but it can’t make them do so. Inside Clark, an AI can mark an item handled, say a task is done, correct an item’s details, add a to-do when you ask it (or suggest one under Maybe on its own), write its own profile and delete a to-do when you ask it, but it can’t permanently delete what Clark saved. Clark lets an AI delete a to-do only when the AI says you asked, but it can’t see your chat with that AI to check. A task an AI says is done waits for your OK, unless you told that AI it’s finished. You can undo it when an AI says a to-do is done or corrects it in Clark, you can restore a to-do it deleted, and you can delete a to-do it added.
Clark can remind you to look at what your AIs did. If you answer with an instruction for one of them, Clark shows it to that AI the next time it checks Clark for what’s new. Whether and how it follows the instruction is up to that AI, and you are responsible for what you ask it to do.
10. Other services
Clark works with services we don’t control: the AIs you connect, the call apps it listens to, and the service providers listed in our Privacy Policy, such as Anthropic, whose Claude reads your conversations, and ElevenLabs, which reads Clark’s spoken answers and spoken reminders aloud. Each one has its own terms and privacy policy, and you are responsible for following the terms of the ones you use.
Whether you can connect an AI can depend on your plan with it. Its provider may change or end what Clark relies on, and then some features may stop working. We choose our service providers with care, but we aren’t responsible for other services, for what they do with what you share with them, or for their outages.
You choose which AIs to connect and what each one can see, and you can disconnect any of them at any time in the Clark dashboard.
11. Clark for Mac and updates
We give you a limited, personal, non-exclusive, non-transferable license, which we may revoke if you break these Terms, to install and use Clark for Mac on Macs you own or control, to use Clark under these Terms. You may not sell, rent, share, change or redistribute it.
Clark for Mac checks this website for a new version about every six hours, downloads it when one is ready, and installs it when you choose. You can turn the automatic checks off in Clark’s settings on your Mac. We may stop supporting older versions, and some features may need the latest one.
From version 0.7.0, Clark for Mac is signed with a Developer ID and notarized by Apple, so macOS opens it like other apps you download, as the Download page explains. It asks for macOS permissions, such as the microphone, call audio and, if you turn on names in calls, Accessibility, only for what its setup and settings explain.
Clark for Mac includes open source software and models that come with their own licenses, such as NVIDIA’s Parakeet speech model (CC BY 4.0). Those licenses apply to those parts.
12. Usage limits
To keep Clark running for everyone during the preview, each account has limits, for example on how many conversations Claude reads and how many questions Clark answers each day. Past a daily limit, Claude reads the rest of your conversations the next day, and Clark answers questions again then.
We may change the limits at any time. Don’t try to get around them.
13. Feedback
If you send us ideas, suggestions or other feedback about Clark, you give us a perpetual, irrevocable, worldwide license to use it for any purpose, with no payment or royalty owed to you. We won’t name you publicly without your permission.
14. Clark belongs to us
Clark, including its software, design, name and logo, belongs to Clarity Search AI, Inc. and its licensors. We give you a limited, non-exclusive, non-transferable license, which we may revoke if you break these Terms, to use Clark as these Terms allow. These Terms give you no other rights in Clark, and we keep all other rights.
The names and marks of the AIs Clark works with belong to their owners and are shown only to identify them.
15. Suspension and ending
You can stop using Clark at any time. You can delete your conversations and what Clark saved in Clark itself, and you can delete your account by emailing contact@claritysearch.ai from the address on it. The Privacy Policy explains what each one removes.
We may suspend or close your account if you break these Terms, if your use creates a legal, security or abuse risk, if the law requires it, or if we end the preview or Clark itself. Where we reasonably can, we’ll tell you first, give you a chance to fix the problem and give you time to export your data. If we end Clark itself, we’ll give you reasonable notice.
When your account ends, your right to use Clark ends. The parts of these Terms that by their nature should last still apply, including your content’s ownership, the disclaimers, the limits on liability, indemnity, and governing law and disputes.
16. Disclaimers
CLARK IS PROVIDED “AS IS” AND “AS AVAILABLE”, AS A PREVIEW. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DON’T WARRANT THAT CLARK WILL BE AVAILABLE, SECURE OR WITHOUT ERRORS, THAT IT WILL HEAR, TRANSCRIBE, SAVE OR HAND OFF ANYTHING CORRECTLY OR COMPLETELY, OR THAT ANYTHING CLARK OR AN AI YOU CONNECT PRODUCES WILL BE ACCURATE.
Some places don’t allow some of these exclusions, so some of them may not apply to you.
17. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS: (A) NEITHER YOU NOR WE WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO CLARK OR THESE TERMS, EVEN IF EITHER OF US WAS TOLD THEY WERE POSSIBLE; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO CLARK OR THESE TERMS WON’T BE MORE THAN THE GREATER OF THE FEES YOU PAID US FOR CLARK IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM, OR US$100.
These limits don’t apply to your obligations under Indemnity, to your breaking the acceptable use rules, or to liability that the law doesn’t allow us to limit, such as for fraud or willful misconduct. This section shares the risks between you and us, and it is an essential part of our agreement.
18. Indemnity
To the extent the law allows, you will defend, indemnify and hold harmless Clarity Search AI, Inc. and its officers, employees and agents against any third-party claim, and the resulting losses, costs and reasonable lawyers’ fees, that arises from your content; from your recording or use of other people’s words, including a claim by someone you recorded; from what the AIs you connect do for you; or from your breaking these Terms or the law. We’ll tell you about such a claim promptly and reasonably help with its defense, at your expense, and we may take part in the defense with our own lawyers. You won’t settle a claim that puts an obligation on us without our consent.
19. Governing law and disputes
- North Carolina law. These Terms are governed by the laws of the State of North Carolina, USA, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. If you live outside the United States, nothing in these Terms takes away a protection you have under the consumer laws of the place where you live.
- Talk to us first. Before either of us files a claim, we both agree to try in good faith to resolve the dispute informally. Email us at contact@claritysearch.ai with your name, your account’s email address, what the problem is and what you want, and allow 30 days for us to resolve it together. If we have a dispute with you, we’ll write to your account’s email address first.
- Courts. Any dispute arising out of or relating to these Terms or Clark will be brought only in the state or federal courts located in North Carolina, and you and we consent to the personal jurisdiction and venue of those courts.
- Protecting rights. Nothing in this section stops either of us from asking a court for an injunction or other equitable relief for misuse of intellectual property or confidential information.
20. Changes to these Terms
We may update these Terms. The “Last updated” date at the top shows the current version. If a change is material, we’ll give you reasonable notice before it takes effect, in Clark or by email. If you keep using Clark after a change takes effect, you accept the updated Terms; if you don’t, stop using Clark before then.
21. General terms
These Terms, with the Privacy Policy and what Clark’s setup asks you to accept, are the whole agreement between you and us about Clark. If a part of them can’t be enforced, the rest still applies. If we don’t enforce a part right away, we haven’t given it up. You may not transfer these Terms without our consent; we may transfer them as part of a merger, an acquisition or a sale of assets. We may send you notices by email or in Clark.
22. Contact
